NOTIFICATION OF SHARE REPURCHASE PROGRAMME

Hammerson plc (the "Company") today announces that it will commence a share repurchase programme of its ordinary shares of 5 pence each (the "Ordinary Shares") up to a maximum aggregate number of shares to be repurchased which may not exceed 7,691,247 shares (the "Maximum Number of Shares") (the "Share Repurchase Programme"). The sole purpose of the Share Repurchase Programme is to reduce the issued share capital of the Company to meet obligations arising from employee share option programmes. To the extent permitted by law, Ordinary Shares purchased under the Share Repurchase Programme will be held in treasury.

Hammerson announces that it has entered into an instruction to Morgan Stanley & Co. International Plc ("Morgan Stanley") in relation to the purchase by Morgan Stanley, acting as principal during the period commencing today, 6 December 2021, and ending on date that the Maximum Number of Shares are purchased, of ordinary shares in the share capital of the Company (the "Shares") and the simultaneous on-sale of such Shares by Morgan Stanley to the Company.

Any purchase of Ordinary Shares done in relation to this announcement will be executed in accordance with the relevant regulations (including but not limited to the Listing Rules) and the Company's general authority to make market purchases of Shares. The Company will announce any market repurchase of Ordinary Shares no later than 7.30 a.m. (UK Time) on the business day following the calendar day on which the repurchase occurred.
