Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ("Hill & Smith" or the "Company") announces that it was notified today that Mrs G M Whiteley, the spouse of Mr W H Whiteley, a person discharging managerial responsibilities of Hill & Smith, has purchased 4,250 ordinary shares in the Company at 354.0 pence per share. This transaction was effected earlier today on the London Stock Exchange.

Following this purchase, Mr Whiteley is beneficially interested in 7,250 ordinary shares in the Company.
