Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ('Hill & Smith' or the 'Company') announces that it has today been notified that Mr Derek Muir, a person discharging managerial responsibilities of Hill & Smith:

·; sold 4,200 ordinary shares in the Company on 1 April 2010 at 340.0 pence per share; and

·; purchased 2,188 ordinary shares in the Company on the same day at 343.79 pence per share, to be held in his Individual Savings Account ("ISA").

Hill & Smith has also been notified today that Mr Muir purchased for his ISA a further 2,012 ordinary shares in the Company on 6 April 2010 at 351.0 pence per share.

These transactions were all effected on the London Stock Exchange.

Following these transactions, there is no change in Mr Muir's beneficial holding of 120,985 ordinary shares in the Company, or his options over 372,170 ordinary shares.
