Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ('Hill & Smith' or the 'Company') announces that it has been notified today that Mr Derek Muir, a person discharging managerial responsibilities of the Company, sold 35,000 shares in Hill & Smith on 21 May 2010 at 333.0 pence per share. The transaction was effected on the London Stock Exchange.

The principal purpose of the sale is to enable Mr Muir to discharge personal taxation liabilities arising on the vesting of an LTIP award of 67,791 ordinary shares in the Company, which was announced on 1 April 2010.

Following this sale, Mr Muir is beneficially interested in 85,985 ordinary shares in the Company and has options over 372,170 ordinary shares.
