Fourth Quarterly Interim Dividend

HICL Infrastructure Company Limited (the "Company") is pleased to announce a fourth quarterly interim dividend for the financial year ending 31 March 2015 of 1.87 pence per ordinary share (the "Q4 Dividend"). The shares will go ex-dividend on 28 May 2015 and the Q4 Dividend will be paid on 30 June 2015 to shareholders on the register as at the close of business on 29 May 2015.

The interim dividend of 1.87 pence per share equates to an aggregate of 7.30 pence per share for the year ending 31 March 2015, ahead of the Board's target of 7.25 pence per share, a reflection of the Company's strong performance. The Company is announcing its annual results on Thursday 21 May 2015.

As in previous years, the Company is offering shareholders a scrip dividend alternative to the Q4 Dividend for the financial year ending 31 March 2015, full details of which can be found in the Scrip Dividend Circular 2014-15 (the "Scrip Circular") available on the Company's website to view and/or download: http://hicl.com/investor-relations/publications under 'Circulars'. It is also available on the National Storage Mechanism website: www.Hemscott.com/nsm.do.

The reference price of the scrip shares in respect of the Q4 Dividend will be calculated and published on or around 4 June 2015.

Shareholders will receive the Q4 Dividend in cash, unless they have previously completed a standing election (a "Scrip Dividend Mandate") to receive scrip shares. Shareholders who would like to receive scrip shares rather than cash, and who have not previously submitted a Scrip Dividend Mandate, should complete the Scrip Dividend Mandate at the back of the Scrip Circular and return it to the Company's UK Transfer Agent, Capita Asset Services, by 5.00pm on 15 June 2015.
