HICL Infrastructure Company Limited (the "Company")

Additional Listing

Application has been made for 748,231 Ordinary Shares of 0.01p each fully paid in the Company ("Shares") to be admitted to the premium segment of the Official List and to trading on the Main Market of the London Stock Exchange. It is expected that dealings in these Shares will commence at 8.00 a.m. on 30 June 2015.

The application is being made pursuant to the scrip dividend alternative in lieu of cash for the fourth quarterly interim dividend in respect of the financial year ended 31 March 2015 (the "Q4 Dividend"). Elections for a scrip dividend were received in respect of 4.82% of the Ordinary Shares in issue as at the record date of 29 May 2015. When issued, these Shares will rank pari passu with the existing Ordinary Shares.
