Result of Special General Meeting

Shellproof Limited is pleased to announce that at its special general meeting held earlier today, the resolution to approve the proposed merger with Shellproof PLC as set out in the circular to shareholders, dated 10 October 2012, was duly approved.

Accordingly, holders of ordinary shares in Shellproof Limited will receive an equal number of new ordinary shares in Shellproof PLC and their existing shares will be treated as having been cancelled. Admission and commencement of dealings in Shellproof PLC shares are expected to take place at 8.00 am on 25 October 2012 and new share certificates are expected to be despatched by 8 November 2012.

Following admission, the issued share capital in Shellproof PLC will be 8,000,003 ordinary shares of 50 pence each. The above figure of 8,000,003 ordinary shares may be used by shareholders to determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Service Authority's Disclosure and Transparency Rules.
