ISSUE OF EQUITY TO SATISFY EXERCISE OF OPTIONS FOLLOWING VESTING UNDER THE GAME DIGITAL PLC PERFORMANCE SHARE PLAN
GAME Digital plc ("GAME Digital", the "Company" or the "Group") today announces that an application has been made for 3,707,982 ordinary shares of 1p each in the capital of the Company (the "New Ordinary Shares") to be admitted to the Official List of the Financial Conduct Authority and to trading on the London Stock Exchange's main market for listed securities, with admission expected to occur on 15 July 2019. This is to satisfy the exercises of nil cost share options under the Game Digital plc Performance Share Plan, following the recent vesting as a result of the mandatory offer for the Company by Sports Direct International plc having been declared unconditional in all respects on 9 July 2019.
The New Ordinary Shares will rank pari passu with the existing ordinary shares of 1p each in the capital of the Company.
For the purposes of the Financial Conduct Authority's Disclosure Guidance and Transparency Rules Sourcebook ("DTRs"), the issued ordinary share capital of the Company following Admission on 15 July 2019 will consist of 176,646,090 ordinary shares of 1p each. This total voting rights figure may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interests in, or a change to their interest in, the Company under the DTRs.
