Issue of Consideration Shares in relation to the acquisition of Ads Reality
Further to the announcement dated 4 May 2016 relating to the acquisition of Ads Reality, as part of the initial consideration payable under the terms of the Acquisition, the Company agreed to issue 859,106 Ordinary Shares to Ads Reality.
An application has been made to the UK Listing Authority and to the London Stock Exchange for the New Ordinary Shares to be admitted to the Official List and to trading on the London Stock Exchange's main market for listed securities ("Admission"). It is expected that Admission will occur at 8.00 a.m. on 11 May 2016.
These new shares will rank pari passu with the existing Ordinary Shares.
For the purposes of the Financial Conduct Authority's Disclosure and Transparency Rules ("DTRs"), the issued ordinary share capital of the Company following Admission on 11 May 2016 will consist of 170,859,106 Ordinary Shares. This total voting rights figure may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interests in, or a change to their interest in, the Company under the DTRs.
Capitalised terms used in this announcement shall have the meaning given to them in the announcement dated 4 May 2016.
