Directors' Dealings and Issue of Equity

Gresham Computing plc (LSE: "GHT", or the "Company") received notification on 8 June 2016 from Ian Manocha, Chief Executive Officer, that on 8 June 2016 he acquired 75,000 ordinary shares of 5 pence each in the Company ("Ordinary Shares") at a price of £0.96 per share. Following this transaction, Mr Manocha holds 75,000 Ordinary Shares in the Company, which represents approximately 0.12% of the Company's issued share capital, as enlarged by the issue of Ordinary Shares detailed below.

The Company announces that it has issued, conditional on admission, 250,000 Ordinary Shares pursuant to an exercise of employee share options under the Company's Unapproved Share Option Plan 2010. Application will be made for the admission to trading of the new Ordinary Shares on the Main Market of the London Stock Exchange and to listing on the Official List of the UKLA, with dealings expected to commence at 8 a.m. on 15 June 2016.

Following the issue of the new Ordinary Shares, which will rank pari passu with all existing Ordinary Shares, the Company will have a total of 63,520,978 Ordinary Shares with voting rights in issue. The Company currently holds no shares in treasury.

The above figure of 63,520,978 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure and Transparency Rules.
