Gresham Computing PLC11 July 2005 For immediate release 11 July 2005 Gresham Computing plc ("Gresham" or "the Company") The Company announces that following the exercise of SAYE share options, 78,119new ordinary shares of 5 pence each have been issued today, taking the totalnumber of outstanding ordinary shares of 5 pence each to 50,227,217. The new ordinary shares will rank pari passu in all respects with the existingissued shares. Application has been made to the UK Listing Authority to admitthe new ordinary shares. Trading in the new shares is expected to commence on15 July 2005. The SAYE option exercise described above included the following transactionsnotified by directors of the Company: Mr D Osman, operations director, exercised 44,186 SAYE share options at a priceof 21.5 pence per share representing 0.09% of the outstanding share capital. Asa result, Mr Osman has increased his beneficial interest in the ordinary sharesof the Company from 56,342 to 100,528, representing 0.20% of the outstandingshare capital. Mr SW Purchase, commercial director, exercised 12,548 SAYE share options at aprice of 21.5 pence per share representing 0.02% of the outstanding sharecapital. As a result, Mr Purchase has increased his beneficial interest in theordinary shares of the Company from 4,034,591 to 4,047,139, representing 8.06%of the outstanding share capital.
