James Fisher and Sons Public Limited Company ('the Company')

Total Voting Rights and Capital

In conformity with the Financial Services Authority's Disclosure and Transparency Rule 5.6.1(R), the Company would like to notify the market of the following:

The Company's capital consists of 49,753,186 ordinary shares and 100,000 preference shares with voting rights. Therefore the total number of voting rights in the Company is 49,853,186.

The figure 49,853,186 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
