James Fisher and Sons Plc ("the Company")

Notification of Directors' Interest in Shares and Additional Listing

Notification made in accordance with Disclosure Rule 3.1.4R (1) (a) of Disclosure Rules and Transparency Rules.

The Company was notified on 21 May 2013 that N P Henry, the Chief Executive Officer of the Company, had increased his holdings of Ordinary Shares of 25p each in the Company through the exercise of options over 31,193 Ordinary Shares at an exercise price of 327p per share.

Following these transactions N P Henry has a beneficial interest in the Company's issued ordinary share capital of 142,013 Ordinary Shares representing 0.28 per cent of the Company's total issued ordinary share capital.

Application has been made to the London Stock Exchange for 31,193 Ordinary Shares to be admitted to trading and to the UK Listing Authority for their admission to the Official List. Admission is expected to occur on 28 May 2013.
