Issue of Shares under Entitlements Offer and Change in Directors' Interests
Further to the announcement on 10 November 2014 regarding the issue of Shares under its entitlements offer, announced on 9 October 2014 (Entitlements Offer), Ferrum Crescent announces that it has issued a total of 58,434,358 Shares pursuant to an underwriting agreement with Patersons Securities Limitedand that these shares were admitted to trading on AIM at 8.00am, 14 November 2014. Accordingly the Company has an issued share capital of 488,102,777 Ordinary Shares. Please note that the announcement of 10 November 2014 incorrectly stated the number of shares on issue at that time as 429,671,419 instead of the correct figure of 429,668,419.
Associated with the Entitlements Offer, Ferrum Crescent also announces the final allotment of Shares issued to Company Directors Edward Nealon (Executive Chairman), Tom Revy (Managing Director) and Grant Button (Non-executive Director) pursuant to sub-underwriting agreements with each of them previously disclosed in the Entitlements Offer Booklet (announced 14 October 2014).
Edward Nealon acquired 10,871,508 fully paid ordinary shares in the Company at a price of AUD 0.008. Following the purchase, Edward Nealon has a direct interest in 20,212,115 fully paid ordinary shares representing 4.14% of the total issued share capital.
Tom Revy acquired 2,717,877 fully paid ordinary shares in the Company at a price of AUD 0.008. Following the purchase, Tom Revy has a direct interest in 2,717,877 fully paid ordinary shares representing 0.56% of the total issued share capital and a direct interest in 2,500,000 options to acquire fully paid ordinary shares in the Company.
Grant Button acquired 2,717,877 fully paid ordinary shares in the Company at a price of AUD 0.008. Following the purchase, Grant Button has total interest in 4,153,877 fully paid ordinary shares representing 0.85% of the total issued share capital. This comprises a direct interest in 936,000 fully paid ordinary shares and an indirect interest in 3,217,877 fully paid ordinary shares through G. Button atf the Wilberforce Trust.
