Voting rights and capital

In accordance with the FSA's Disclosure and Transparency Rules, esure Group plc (the "Company") announces that on 27 March 2013:

·; it had 416,841,380 issued ordinary shares of 1/12 pence each admitted to trading. Each ordinary share carries the right to one vote in relation to all circumstances at the general meetings of the Company;

·; it does not hold any ordinary shares in treasury; and

·; accordingly, the total number of voting rights in the Company is 416,841,380.

The total voting rights figure (416,841,380) may be used by shareholders and others with notification obligations as the denominator for the calculations by which they will determine whether they are required to notify their interests in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
