("Everyman" or the "Company")
Issue of Equity and Total Voting Rights
Director/PDMR Shareholding
Everyman announces that it has, conditional on admission, allotted and issued 30,000 ordinary shares of 10 pence each in the Company ("Ordinary Shares") pursuant to exercises of options by persons discharging managerial responsibilities of the Company, being Jonathan Peters, Finance Director, and Hossein Ghonouie, Head of Marketing. The Company has made application for the 30,000 new Ordinary Shares to be admitted to trading on AIM ("Admission"). Admission is expected to become effective at 8.00 a.m. on 21 June 2018. Following the above exercises, Mr Peters and Mr Ghonouie agreed to sell 20,000 Ordinary Shares and 10,000 Ordinary Shares respectively for a price of 220 pence per Ordinary Share on 19 June 2018. The details of these transactions are set out below.
Following Admission, the Company will have 70,209,643 Ordinary Shares in issue, each with voting rights, which figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules. The Company does not hold any Ordinary Shares in Treasury.
