Dear Sir/Madam,

This is to inform you that Company has received communications from BSE Limited and National Stock Exchange of India Limited ('Stock Exchanges') both dated August 21, 2024 (in evening), wherein fine has been imposed on the Company, under SEBI's SOP Circular, for non-compliance of Regulations 17(1) and 19 (1)/(2) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ('Listing Regulations'), for the quarter ended June 30, 2024.

It is submitted that the above-mentioned non-compliances in respect to reduction in the Board strength was on account of non-approval of shareholders for the appointment of Directors and that the same was beyond the control of the Board or the Company. The Company shall be making the payment of the fines as levied on the Company.
