Subject: Disclosure of Petition served on the Company on December 22, 2021

Dear Sir/Madam,

We wish to inform you that the Company has been served with a copy of a Petition on December 22, 2021, filed by a group of Shareholders, under Section(s) 241, 242 read with 245 of the Companies Act, 2013, against the Company (Respondent No. 1) and Yes Bank Limited (Respondent No. 2), before the Hon'ble National Company Law Tribunal, Mumbai bench.

Vide the Petition, the Plaintiff seeks, inter-alia, a declaration that to the effect that Respondent No. 2 is committing unlawful acts resulting in gross mismanagement of Respondent No. 1.

The Company shall consider and undertake necessary steps to be taken in the matter.
