Subject: Compliance of Ad-Interim Ex-Parte Order cum Show Cause Notice dated March 7, 2022 issued by SEBI ("SEBI Order")
Voting Result of 33rd Annual General Meeting of the Company held on December 30, 2021 ("Results")
Dear Sir/Madam,
This is in continuation to our earlier intimations in relation to the outcome of the voting at the 33rd Annual General Meeting of the Company (AGM) held on December 30, 2021.
As communicated in our earlier intimations, the Results were not declared by the Company due to pendency of suit bearing CS(L) No. 29569 of 2021 ("Suit") and other Interim Applications in the Suit, before the Hon'ble High Court of Bombay.
In this regard, reference is drawn to the Company intimation made earlier today, through which the SEBI Order was disclosed by the Company. As also intimated, the Company had preferred an appeal against the said order before the Hon'ble Securities Appellate Tribunal ("Appeal") which is listed for March 9, 2022.
Without prejudice to the rights and contentions of the Company (and other Appellant/Parties to the Order) in the Appeal and also in the Suit and as also the fact that the declaration of the voting result of 33rd Annual General Meeting of the Company held on December 30, 2021 shall abide by the orders of the Hon'ble High Court of Bombay in the Interim Application No. 29574 of 2021 filed in the said Suit, in order to comply with the SEBI Order, the Company, without prejudice to its rights and contentions, is disclosing the Results of the AGM alongwith Consolidated Report of the Scrutinizer dated December 30, 2021 .
