Driver Group PLC (AIM: DRV), the global professional services consultancy to the construction and engineering industries, announces that it has entered into an agreement with Mr Hugo Frans Bol, Managing Director Mainland Europe (the "Agreement").

As part of the Agreement, the Group has today issued 100,000 new ordinary shares of 0.4 pence each in the Group (the "Award Shares") held in Treasury and has granted nil cost options over 150,000 Ordinary Shares under the Group's share option scheme (the "Options") to Mr. Bol. The Options vest on receipt, subject to certain conditions. The issue price for the Award Shares is 34 pence per share, being the closing price the day the Agreement was entered into.

Following the issue of the Award Shares, Hugo Frans Bol holds 100,000 Ordinary Shares representing 0.2 per cent. of the Group's issued share capital.

To satisfy the issue of the Award Shares, 100,000 existing Ordinary Shares were transferred from treasury on15 July 2022. 

Following the transfer of the Award Shares, the issued share capital of the Company consists of 53,962,868 Ordinary Shares of which 1,217,342 are held in Treasury. Therefore, the total number of Ordinary Shares carrying voting rights in Driver is 52,745,526. This figure of 52,745,526 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest, or a change to their interest, in the Company under the Disclosure Guidance and Transparency Rules.
