Driver Group plc09 April 2008 Driver Group plc (the "Company") Director's Shareholding 9 April 2008 The Company received notification on 8 April 2008 that on that day, CMC GroupHoldings Limited ("CMC Group"), who received 1,646,542 shares of 0.4 pence eachin the capital of the Company ("Ordinary Shares") as consideration for the saleof Commercial Management Consultants Limited to Driver Group plc as announced inthe acquisition announcement on 3 March 2008, has distributed its remaining648,771 Ordinary Shares in the Company to the shareholders of CMC Group for nilconsideration. This is in addition to the transfer of 997,771 Ordinary Shares tothe shareholders of CMC Group as notified in the announcement made by theCompany on 7 April 2008. Each of the Ordinary Shares transferred is subject tothe lock in as detailed in the acquisition announcement of 3 March 2008. As aresult of the transfer, CMC Group no longer has a beneficial interest in theshare capital of the Company. As a result of the transfer, Robert Parfitt, who is an executive director of theCompany, has received 231,429 Ordinary Shares for nil consideration,representing 0.88% in the share capital of the Company.
