Diploma PLC has been notified that Nigel Lingwood has exercised his options over 55,035 Ordinary Shares of 5p each in the Company ("Shares"). These options vested in relation to a share award granted on 22 December 2016 under the Diploma PLC 2011 Performance Share Plan ("PSP"). As a consequence, Nigel Lingwood has become entitled to acquire Shares in the Company as set out below.

This award crystallised after meeting performance conditions measured over a three-year period ended 30 September 2019. Further details relating to the performance conditions of these awards are set out in the Annual Report & Accounts 2019, which will be mailed to shareholders on 6 December 2019.

The number of Shares acquired by Nigel Lingwood has been reduced as part of arrangements under which the Company will settle the PAYE liability of Nigel Lingwood which arises as a result of the exercise of the options. The table below shows the total number of Shares vested, the PAYE adjustment on the vested Shares and the net number of Shares acquired by Nigel Lingwood.

Following the above transaction, Nigel Lingwood disposed of 29,169 Shares on 20 November 2019 at a price of £17.55. After this transaction, Nigel Lingwood retains 100,000 shares in the Company which represents 0.09% of the issued share capital.
