LONG TERM INCENTIVE AWARDS TO EXECUTIVE DIRECTORS

The Remuneration Committee of Diploma PLC has approved the grant of two long-term incentive Awards of Ordinary Shares of 5p each in Diploma PLC to Chris Davies, Chief Financial Officer on 28 November 2022 under the Diploma PLC 2020 Performance Share Plan ("PSP") (together the "Awards"):

The Buyout Award has been granted on the same basis as for other employees who participated in the 2021 PSP (including as to performance measures over the three year period ending 30 September 2024) save that the amount has been determined to compensate Chris Davies for the forfeiture of incentive arrangements held with his previous employer, National Express.
The 2022 PSP Award has been granted on the same basis as for other employees who are participating in the 2022 PSP (including as to performance measures over the three year period ending 30 September 2025) save for the fact that it has been prorated for Chris Davies' start date.
A summary of the PSP, including the performance conditions relating to these Awards, is set out in the Annual Report & Accounts 2022 that will be sent to Shareholders in due course. A further announcement will be made when the Annual Report & Accounts is dispatched to Shareholders. The Annual Report & Accounts 2022 will also be available on the Company's website at www.diplomaplc.com
