EXERCISE OF OPTIONS OVER VESTED LTIP AWARDS

Diploma PLC has been notified that the following Directors have exercised in full, their options over Ordinary Shares of 5p each in the Company ("Shares") which vested in connection with share awards granted on 19 December 2012 under the Diploma PLC 2011 Performance Share Plan ("PSP") and on 20 December 2012 under the Diploma PLC 2011 Share Matching Plan ("SMP"). As a consequence, the Directors have become entitled to acquire Shares in the Company as set out below.

These nil cost options relate to the three year performance period ended 30 September 2015. Further details relating to the performance conditions of these awards are set out in the Annual Report & Accounts 2015 which was mailed to shareholders on 9 December 2015.

The number of Shares acquired by the Directors has been reduced as part of arrangements under which the Company will settle the PAYE liability of the Directors which arises as a result of the exercise of the options. The table below shows the total number of Shares vested, the PAYE adjustment on the vested Shares and the net number of Shares acquired by each Director.

Following the above transaction, the Directors disposed of Shares on 10 December 2015 as follows:

*Mr BM Thompson, a Director of the Company, transferred 14,892 Shares in the Company for nil consideration to a charitable foundation of which Mr Thompson is a trustee. 

Following these transactions, the number of Shares in the Company held by Elian, on behalf of the Trust, was 172,577, which represents 0.15% of the issued share capital.
