EXERCISE OF OPTIONS OVER VESTED LTIP AWARDS

Diploma PLC has today been notified that the following Directors have exercised in full, the options which have now vested, in connection with share awards granted on 16 December 2011 under the Diploma PLC 2011 Performance Share Plan ("PSP") and on 19 December 2011 under the Diploma PLC 2011 Share Matching Plan ("SMP"). As a consequence, the Directors have become entitled to acquire ordinary shares in the Company as set out below.

These vested share awards in the form of nil cost options, relate to the three year performance measurement period ended 30 September 2014. Further details relating to the performance conditions of these awards are set out in the Annual Report & Accounts 2014 which will be mailed to shareholders on 5 December 2014.

The number of shares transferred has been reduced as part of arrangements under which the Company will settle the PAYE liability, arising as a result of the exercise of the awards. The table below shows the total number of vested shares, the PAYE adjustment on the vested shares awarded and the net number of shares transferred to each Director.

Following the above transactions, the Executive Directors disposed of shares on 24 November 2014:

Of the 280,802 shares sold by the Executive Directors, 100,000 were acquired by Elian Employee Benefit Trustee Limited ("Elian"), as Trustee of the Diploma Employee Benefit Trust at a market price of 685p. Following these transactions, the number of ordinary shares in the Company held by Elian, on behalf of the Trust, was 221,438, which represents 0.20% of the issued share capital.
