Proposed secondary placing in Ceres Power Holdings plc
IP Group plc ("IP Group") has indicated its intention to sell 9,156,339 existing ordinary shares in Ceres Power Holdings plc ("Ceres Power" or the "Company") (the "Placing Shares") through a placing to institutional investors by means of an accelerated bookbuild (the "Placing"), which will be launched immediately following this announcement. The Placing Shares represent approximately 5.4 per cent of the Company's issued share capital. A further announcement will be made following completion of the bookbuild and pricing of the Placing.
Joh. Berenberg, Gossler & Co. KG ("Berenberg") is acting as sole bookrunner and placing agent in relation to the Placing.
Following completion of the Placing, IP Group will continue to hold approximately 288,784 ordinary shares in Ceres Power, representing approximately 0.2 per cent of the issued share capital of the Company. IP Group has agreed to lock-in arrangements in relation to the balance of its ordinary shares for 90 days following the completion of the Placing.
Ceres Power is not a party to the Placing and will not receive any proceeds from the Placing.
