JAMES CROPPER PLC (the "Company")

NOTIFICATION OF TRANSACTIONS OF

DIRECTORS AND PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY ("PDMRs")

The Company has been notified today, that on 24 July 2017 the Trustees of James Cropper PLC Share Incentive Plan ("JC SIP Plan") awarded 19,647 ordinary shares of 25p each ("Shares") in the Company to participants of the SIP Scheme at a price of 1,682.5p per Share.

Under the SIP rules, Shares to be issued to participants are held by the SIP Trustees in their capacity as Trustees. After a holding period of five years, the Shares held by the SIP Trustees are transferred to the participants. The beneficial rights to the participants are recognised immediately upon award.

As a result of the above, the interests in the following PDMRs has increased by:

As a result of the above transaction, the interests of the JC SIP Plan remains unchanged at 167,899 Shares, representing 1.8% of the issued share capital of the Company.
