James Cropper Plc (the 'Company')

Notification of Transactions of

Persons Discharging Managerial Responsibility ("PDMR")

The Company has been notified that the Trustees of James Cropper Plc Employee Benefit Trust ("James Cropper EBT Ltd") on 28 September 2018 acquired 1,503 ordinary shares of 25p each in the Company ("Shares") at a price of 1285.0 pence per Share. This was to satisfy future releases under the James Cropper PLC Share Incentive Plan, in which participants, including executive directors, have a potential interest subject to the achievement of performance targets.

As a result of the above transactions, James Cropper EBT Ltd is interested in 64,951 Shares, representing 0.7% of the issued share capital of the Company, as enlarged by the issue of the new Shares on 25 September 2018.

Further to the movement in the shareholding of James Cropper EBT Ltd, the non-beneficial interests of the following PDMRs were increased by:

David Wilks (Non - Executive Director) 1,503 Shares.

Jim Sharp (Non - Executive Director) 1,503 Shares.

The Company was further notified on 28 September 2018 that on 27 September 2018, Julie Atkinson, the wife of Steve Atkinson, a PDMR of the Company, sold 122 ordinary shares of 25p each in the Company ("Shares") at a price of 1265.0p per Share.

As a result, Steve Atkinson's beneficial interest in the Company has decreased by 122 Shares.
