Notification of transactions of persons discharging managerial responsibilities ("PDMR") or persons closely associated with them ("PCA")
Caledonia Investments plc ("Caledonia" or the "Company") has been notified pursuant to the requirements of the Market Abuse Regulation of the following transactions in its ordinary shares of 5p ("Shares") involving persons closely associated with one of its directors, Jamie Cayzer-Colvin.
On 16 September 2020:
(i) A family trust in which Mr Cayzer-Colvin holds a beneficial interest sold 1,000 Shares, representing 0.002% of the Company's total issued ordinary share capital, to a registered charity of which Mr Cayzer-Colvin is a trustee. All Shares were sold at 2562.5p per share. The transaction decreased Mr Cayzer-Colvin's beneficial holdings and increased his non-beneficial holdings in the Company. The transaction took place in London.
(ii) Mr Cayzer-Colvin was appointed as a trustee of a family trust. The trust holds 16,237 Shares in the Company, representing 0.029% of the Company's total issued ordinary share capital. Mr Cayzer-Colvin's appointment increases his non-beneficial holdings in the Company.
(iii) A family trust in which Mr Cayzer-Colvin holds a beneficial interest appropriated 3,529 Shares in the Company, representing 0.006% of the Company's total issued share capital, between two of its funds. All Shares were appropriated at 2550p per share. There was no change to Mr Cayzer-Colvin's beneficial or non-beneficial holdings in the Company as a result of the transaction. The transaction was conducted off-market and in London.
Mr Cayzer-Colvin's total interests in Shares following the above transactions are as follows:
Beneficial - 374,913 Shares = 0.68%
Non-beneficial - 150,273 Shares = 0.27%
Performance share scheme awards - 76,807 Shares = 0.14%
Deferred bonus plan awards - 5,619 Shares = 0.01%
