Director/PDMR Shareholding Notification

Caledonia Investments plc ("Caledonia") has been advised of the following transaction involving two of its directors, William Wyatt and The Honourable Charles Cayzer:-

On 29 March 2012, a family trust, of which Mr Wyatt and The Honourable Charles Cayzer are Trustees and of which Mr Wyatt is a potential beneficiary, distributed 18,505 Caledonia ordinary shares, representing 0.03% of Caledonia's total issued ordinary share capital, to beneficiaries of the trust unconnected with either director. The Caledonia shares held by the trust are included within the beneficial interests of Mr Wyatt and the non-beneficial interests of The Honourable Charles Cayzer.

This transaction is disclosed by Mr Wyatt and The Honourable Charles Cayzer in accordance with DTR 3.1.2R. All of the Caledonia shares distributed by the trust remain within the Cayzer family concert party and were registered in the name of Caytrust Finance Company Limited.

Mr Wyatt's total interests in Caledonia's ordinary shares following the above transaction are as follows:

Beneficial - 1,014,920* shares = 1.77%

Non-beneficial - 19,093 shares = 0.03%

Options - 103,929 shares = 0.18%

Deferred bonus plan - 8,470 shares = 0.01%

Performance share scheme awards - 37,682 = 0.07%

* 914,000 shares of Mr Wyatt's total beneficial holding are owned by The Dunchurch Lodge Stud Company, a company controlled by Mr Wyatt and certain of his connected persons. 

The Honourable Charles Cayzer's total interests in Caledonia's ordinary shares following the above transaction are as follows:

Beneficial - 40,892 shares = 0.07%

Non-beneficial - 23,985 shares = 0.04%

Options - 78,015 shares = 0.14%

Deferred bonus plan - 3,114 shares = 0.01%

Performance share scheme awards - 22,609 = 0.04%
