CIB increases its paid-in capital by EGP 25,721,800 for its employees share ownership plan (ESOP)

 

Reference to the Press release issued by the Bank on April 22nd, 2010 and based on the approval of the Egyptian Financial Supervisory Authority (EFSA) dated 20/12/2006 as well as the approval of the Bank's Extraordinary General Assembly meeting held on June 26th, 2006, CIB reaffirms launching its rewarding scheme for its employees through its employee share ownership plan (ESOP). According to the program, the top performers from the bank's executives, senior management and employees will be granted 1% of CIB shares, on a yearly basis for a period of 5 years starting December 31st, 2006, on condition that they complete a term of 3 years of service in the Bank. These shares will be issued through corresponding increase in the Bank's Capital by the face value of the shares.

Accordingly, the Bank's Extraordinary General Assembly meeting held on March 17th, 2010 signed off on availing the 1% necessary for the ESOP plan, through increasing, the Bank's issued and paid - in capital from EGP 2,925 Million to EGP 2,950,721,800 via a cash injection paid for by CIB staff eligible for the program. The increase in the Bank's Capital by EGP 25,721,800 is distributed on 2,572,180 shares (the 13th issuance) at par value of EGP 10 per share. These shares were listed in the Egyptian Stock Exchange in 21/04/2010.

The first installment of the share based payments representing EGP 25,721,800 is to vest on April 26th, 2010, whereby said shares are free of any sale restrictions for its beneficiaries.

As such, the same process will take place over the course of the ESOP plan on a yearly basis until 2014. It's worth mentioning that in our ongoing efforts to ensure our shareholders' best interest, CIB calculated the difference between the market value and the face value of these equity-settled share based payments. The difference was accrued to the Bank's income statement as an expense over the course of the vesting period (3 years) with corresponding increase on equity, based on the number of shares estimated to vest. This was implemented in order to avoid diluting shares' value.

بالاشارة الى البيان الصحفى الصادر عن البنك فى 22/4/2010 يؤكد البنك انه تنفيذا لنظام الاثابة والتحفييز للعاملين والمديرين التنفيذيين(نظام الوعد بالبيع) والعقد المرفق به الموافق علية من الهيئة العامه للرقابة المالية بمصر بتاريخ 20/12/2006 والصادر بناءً على موافقة الجمعية العامة غير العادية للبنك في 26 يونيو 2006، فقد قام البنك التجاري الدولي - مصر بتفعيل نظام إثابة وتحفيز العاملين(نظام الوعد بالبيع) . وبموجب هذا النظام يتم إثابة العاملين والمديرين بالبنك من خلال تملكهم أسهماً في رأس مال البنك وذلك بواقع 1% من أسهم البنك سنوياً وعلى مدار خمس سنوات بدءاً من 31 ديسمبر 2006 ويكون للمستفيدين (اعضاء مجلس الادارة المنتدبين -مديروالعموم - مديرو الصف الاول - الموظفون) بالبنك الحق في تملك الأسهم بشرط إتمام مدة خدمة فعليه تبلغ 3 سنوات ويتم اصدار تلك الاسهم من خلال زيادة راس مال البنك بالقيمة الاسمية.

 

وبناء على ذلك فقد وافقت الجمعية العامه غير العادية للبنك بتاريخ 17مارس 2010 على توفير نسبة الـ1% اللازمه لتمويل نظام الاثابة والتحفيز المشار اليه من خلال زيادة راس مال البنك زيادة نقدية بالقيمة الاسمية تم سدادها من خلال المستفيدين المتوافر فيهم شروط الوعد بالبيع من 2.925 مليون جنيه مصري إلى  2,950,721,800جنيه بزيادة قدرها 25,721,800 جنيه (الاصدار الثالث عشر) موزعة على عدد 2,572,180 سهم بقيمة اسمية قدرها 10 جنيه للسهم الواحد ، وحيث تم قيد اسهم تلك الزيادة بالبورصة المصرية فى 21/4/2010.

و بناءً على ما سبق ستستحق الشريحه الأولى من أسهم الإثابة والتحفيز في 26 ابريل 2010 وتمثل هذه الأسهم البالغ قيمتها 25,721,800 جنيه مصرياً أسهم إثابة وتحفيز للمستفيدين بالبنك (اعضاء مجلس الادارة المنتدبين -مديرو العموم - مديرو الصف الاول - الموظفون) يمكنهم التصرف فيها بالبيع عن طريق البورصة أو الاحتفاظ بها اعتباراً من التاريخ المذكور أعلاه.

 

هذا وسيستمر هذا النظام على نفس النهج سنوياً حتى عام 2014. علما بانه فى إطار الجهود المبذولة للحفاظ على مصلحة مساهمى البنك فقد قام البنك باحتساب الفرق بين القيمة السوقية والقيمة الاسمية لاسهم الاثابة والتحفييز (1%) وتم إثباتها بقائمة الدخل في بند مصروفات وفقاً لمبدأ الاستحقاق مقابل زيادة في حقوق الملكية طبقاً لتقدير البنك لعدد الأسهم التي تم إصدارها. وقد تم هذا الإجراء بهدف الحفاظ على قيمة السهم.
