Total Voting Rights and Capital

In accordance with DTR 5.6.1, Charles Stanley Group PLC (the "Company") hereby notifies the market that the Company's issued share capital as at 31 August 2018 consists of 50,760,815 Ordinary Shares with a nominal value of 25p each. The Company does not hold any Ordinary Shares in Treasury.

Therefore, the total number of voting rights in the Company is 50,760,815. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
