Notification of grant of share option awards to directors and other persons discharging managerial responsibility ("PDMR")

In accordance with the Charles Stanley Group PLC Approved SAYE Scheme 2014/15 (the "2014/15 Scheme"), on 23 December 2014 share options were granted to the directors and PDMRs set out in the table below. The 2014/15 Scheme operates for all eligible employees of the Company. These share options have been granted in conjunction with the individuals participating in a 3 year Sharesave savings contract.

The shares subject to the share options granted under the 2014/15 Scheme are ordinary shares of 25p each in the Company. The share options exercise price is 270p per share which represents, in accordance with the rules of the 2014/15 Scheme, 85% of the average middle market quotation of an ordinary share in the Company on the three business days preceding the Invitation Date of 27 November 2014.

The share options, which were granted in accordance with the 2014/15 Scheme, to the participating directors and PDMRs, are as follows:

The Scheme options may be exercised within 6 months of the appropriate anniversary date of the contract commencement date of 1 February 2015.
