Total Voting Rights

In accordance with the Disclosure and Transparency Rules, B&M European Value Retail S.A. (the "Company") confirms that as at 31 August 2023 the issued share capital and voting rights of the Company are as follows.

The Company's issued share capital consists of 1,002,176,977 ordinary shares of 10 pence each with voting rights of one vote per share. There are no shares held by the Company in treasury.

However, as outlined in the Article 11 Report section of the Company's Annual Report and Accounts for the year ended 25 March 2023, voting rights attached to 13,842 shares in aggregate are suspended and the total voting rights are therefore 1,002,163,135.

Shareholders should still use the total number of shares in issue (1,002,176,977) as the denominator for the calculation by which they will determine if they are required to notify their interest or a change to their interest in the Company under the Disclosure and Transparency Rules.
