Better Capital PCC Limited (the "Company") has been further updated on the status of the investment made by BECAP Fund LP in certain bank facilities of ATH Resources Plc and its subsidiary, Aardvark TMC Limited ("Aardvark"). This investment was made through BECAP Capital Coal Limited (the "Lender"), a wholly-owned special purpose vehicle of BECAP Fund LP.
Following the debt purchase in November 2012, representatives, advisors and consultants of the Lender and its subsidiaries worked with key stakeholders in an attempt to secure the acquisition of the business and further investment in its future. It was not possible for the Lender to achieve this objective and on 14 December 2012 the Lender agreed to a standstill period with Aardvark, the main trading entity of the ATH group of companies.
During the period since 14 December the Aardvark directors have spent time seeking a consensual restructure of the business with all key stakeholders. Alongside this process, the Lender agreed (with the consent of the borrower companies) a sale of the debt held by the Lender. This sale completed today.
The transfer of the debt means that, net of costs and including the return of the original £15m cash invested in the special purpose vehicle, approximately £20m will be returned to the Fund.
There will be no further involvement of any company related to Better Capital PCC Limited in the restructuring of the ATH group's operations.
A further return of capital is being considered.
