Recommended Acquisition of VT Group plc by Babcock International Group PLC

Additional Listing

Application has been made to the UK Listing Authority and to the London Stock Exchange for a block listing of 500,000 ordinary shares of 60 pence each in the capital of Babcock International Group PLC ("Babcock") to trade on the London Stock Exchange and to be admitted to the Official List. The Babcock shares are being listed so that they can be issued in exchange for VT Group plc shares that are acquired in due course on the exercise of share options under the VT share schemes. The shares shall rank equally with the existing issued ordinary shares of Babcock.
