Grant of LTIP awards
On 1 September 2021, the Company's Executive Directors were granted conditional awards over ordinary shares under the Performance Share Plan ("PSP") as noted below.

Subject to the terms of the PSP, the awards will ordinarily vest on the third anniversary of the grant of the awards subject to the grantee's continued service and the extent to which adjusted EPS (75% of the award) and Digital Commerce Revenue (25% of the award) targets are met over the three financial years to 31 December 2023. The shares will also be subject to a further two-year holding period whereby the Executive Directors will be restricted from selling the shares which vest other than to settle any associated tax. The share price used to calculate the number of shares under award is the average of the closing Ascential share price for the five business days immediately preceding the date of grant.
