ASOS plc (the "Company")

Total Voting Rights

For the purposes of the Transparency Directive, the Company's total issued share capital at the date of this notice is 74,827,593.

The Company's issued and fully paid share capital consists of 74,827,593 ordinary shares of 3.5 pence each, with one voting right per share, which includes 1,437,305 Ordinary Shares held in Treasury.

The total number of voting rights in the Company is therefore 73,390,288.

The above figure of 73,390,288 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the FSA's Disclosure and Transparency Rules.
