Intellego Holdings PLC22 December 2006 For immediate release 22 December 2006 Intellego Holdings Plc Acquisition of eMedit Limited The directors of Intellego Holdings Plc ("Intellego") are pleased to announcethe acquisition of selected assets and liabilities of eMedit Limited. eMedit is an established supplier of e-learning systems with particular emphasison health, medical and pharmaceutical markets; it has a reputation for producingfirst class content. Intellego has worked increasingly closely with eMedit overthe past year and have taken part in several successful joint bids. The new enlarged company is significantly stronger with enhanced capabilities,better resources and scale to increase the pace of growth whilst offering moreadded value and enhanced margins. The eMedit assets acquired have a net book value of £95,000. It is currentlyloss making. Consideration payable is £50,000 in shares and accordingly3,067,485 new shares @ 1.63 pence per share are being issued to the vendor. The3,067,485 new shares being issued to eMedit Limited will rank pari passu withall other ordinary shares now in issue. Application has been made for theseshares to be admitted to trading on AIM and such admission is expected to occuron or around 28 December 2006.
