Amphion Innovations Director Dealings
Distribution to Board Members
London and New York, 27 February 2009 - Amphion Innovations plc (LSE: AMP), the developer of medical and technology businesses, announces today that Board Members Richard Mansell-Jones, R. James Macaleer, Anthony Henfrey, Robert Bertoldi, and Richard Morgan have received Amphion Innovations plc ordinary shares of 1p in a final distribution of shares made by Amphion Capital Partners LLC ('ACP') as a result of an agreement between ACP and Amphion Innovations dated 16 August 2005 and as detailed in the admission document. ACP's operations and investment portfolio were acquired by Amphion Innovations following its IPO in August 2005, in return for shares of Amphion Innovations. Certain Board Members of Amphion Innovations are shareholders of ACP and received these shares as part of a distribution to all ACP shareholders of 8,025,000 shares. After this distribution, ACP's shareholding in Amphion Innovations has been reduced to zero.
Richard Mansell-Jones, Chairman of Amphion, received 162,814 ordinary shares, bringing his total holdings of the Company to 2,856,588 representing 2.191% of the Company's issued ordinary share capital.
R. James Macaleer received 2,391,865 ordinary shares, bringing his total beneficiary holding of the Company to 22,308,919 representing 17.111% of the Company's issued ordinary share capital.
Anthony Henfrey received 106,124 ordinary shares, bringing his total holding of the Company to 1,010,476 representing 0.775% of the Company's issued ordinary share capital.
Robert Bertoldi, President and Chief Financial Officer of Amphion, received 685,722 ordinary shares, bringing his total holding of the Company to 6,360,566 representing 4.879% of the Company's issued ordinary share capital.
Richard Morgan, Chief Executive Officer of Amphion, received 1,095,846 ordinary shares. Accordingly Richard Morgan is now beneficially interested in 22,794,057 ordinary shares representing 17.483% of the Company's issued ordinary share capital.
