Exercise of Share Options & Director Shareholdings

On 20 September 2013, the Company issued 892,156 ordinary shares of 5 pence each ("Ordinary Shares") following the exercise of options under the Company's Enterprise Management Incentive and Unapproved share option schemes, by Directors of the Company as set out below.

Terry Osborne exercised 392,156 share options and subsequently sold 100,000 shares at a price of 101 pence per share, thereby retaining 292,156 of the resulting shares issued. Following this transaction, Terry Osborne is interested in 342,156 ordinary shares, representing approximately 0.5% of the total issued share capital of the Company.

Chris Gale exercised 500,000 share options and subsequently sold 447,571 shares at a price of 101 pence per share, thereby retaining 52,429 of the resulting shares issued. Following this transaction, Chris Gale is interested in 65,429 ordinary shares, representing approximately 0.1% of the total issued share capital of the Company.

Application has been made for the Ordinary Shares to be admitted to AIM, with trading expected to commence on 26 September 2013 ("Admission"). Upon Admission, the shares will rank pari passu in all respects with the existing ordinary shares of the Company.

After admission of these new shares, Allocate Software plc will have 65,242,684 Ordinary Shares in issue.
