Exercise of Employee Share Options

Cambridge, UK - Abzena plc (AIM: ABZA) announces that 40,000 new ordinary shares of £0.002 each in the Company (the "Ordinary Shares") have been issued and allotted following the exercise of employee share options. The new Ordinary Shares rank pari passu with the Company's existing issued ordinary shares. Application will be made for admission to trading on AIM and it is expected that admission will occur on 10 April 2015.
Following Admission, the Company's enlarged issued share capital will comprise 97,468,858 ordinary shares with voting rights. No shares are held in Treasury. The total number of voting rights in the Company is therefore 97,468,858. This figure of 97,468,858 ordinary shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
