SIGNIFICANT EVENT
On 21 March 2013, Endesa, S.A., Enersis S.A.’s controlling shareholder, exercised its pre-emptive subscription right and, therefore, signed a contract for the subscription of shares, subscribing for 9,967,630,058 ordinary shares of Enersis, S.A. in the Chilean company’s capital increase at a price of CLP 173 per share, implying a total subscription amount of CLP 1,724,400,000,034 (approximately Euros 2,825 million).
Payment will be made through delivery of all the shares in Spanish company Cono Sur Participaciones, S.L. under the terms of the contract for subscription of shares approved at the Extraordinary General Meeting of Enersis S.A. held on 20 December 2012 and valued thereat at the amount indicated above of CLP 1,724,400,000,034 (approximately Euros 2,825 million).
