RE: Guident S-1/A Amendment No.4 🧐9 Dec 2025 08:55
Today’s S-1/A (Amendment No.4) is, in my view, the clearest indication yet that Guident is entering the final procedural stage before IPO. This update wasn’t about changing the business, numbers, or risk factors - it was purely to satisfy the SEC’s last technical requirements around plan of distribution, liability wording, and final signatures.
That tells us one thing:
The heavy lifting is now done. What remains is mechanical, not developmental.
From here, the potential expected sequence is straightforward:
1️⃣ SEC effectiveness
2️⃣ 424B prospectus with pricing
3️⃣ IPO date confirmation
4️⃣ Market-making & early trading volume
5️⃣ Tekcapital’s NAV gap begins to close
If the SEC backlog clears in early 2026, it could look very different from where we are today. Institutions can finally participate, the structure of the prospectus supports a clean offering, and Tekcapital’s discount-to-asset value becomes harder for the market to ignore.
Three years of waiting for myself, delays, shutdowns and filings - and now the process is finally accelerating instead of dragging.
This latest amendment brings us right to the edge of the finish line. The next substantial update we see may well be the one that changes the entire landscape for TEK holders. 💫
And remember - we’re not just dealing with “another tech listing.” Robotics, autonomous systems, and remote operations are entering a breakout adoption cycle in the US, with global investment hitting new highs. Guident sits directly in the flow of that trend with its safety-critical remote monitoring and teleoperation platform - a segment expected to grow rapidly as regulation tightens and fleets scale.
For Tekcapital, that means:
. Major NAV uplift potential once Guident lists
. Exposure to one of the fastest-growing robotics verticals
. A rare UK-listed gateway into a US automation boom
The story is finally aligning: filings almost complete, timing improving, and sector momentum building.
This amendment takes us right to the edge of the finish line - and robotics is the tailwind ready to carry the whole thing forward. 💫
