It’s useful, if small, preserving of cash. A bit saved on interest and £93k we don’t have to repay in the future. Downside, another 940k shares in issue and likely being sold in the next few weeks,

Mike - as I understand it we will have had the money for this CULN a long time ago so it’s not anymore money in the coffers. It’s not like warrants where the money only gets handed over at time of conversion, the money was paid to us and we either pay it back or they convert the IOU to shares.

It’s likely that , given the conversion is below CULN price the holder needs the cash and therefore will be looking to sell ASAP. That’s another 900k shares to hit the market , assuming they haven’t already been forward sold ahead of conversion.

Not only will he be happy about getting this signed and the kudos it brings I’m sure he’ll be somewhat relieved at the response.

Not seen much pesky trading, just a slight tick up in volume and interest. Also, for what seems like a long, long time he has managed to release news that hasn’t actually sent the share price down. Long may it continue.

It would be good to follow up with further announcements that can build a proper , sustained re-rate but that may be a bit optimistic.

WSG have survived for the past number of years on bucket shop financing arrangements which have killed the SP. Whether it was Darwin (twice !) or last years placing with warrants, Fooler has been happy to sacrifice the SP for this sort of finance.

It depends where Foolers priorities are. Get another million or 2 ‘free’ money at shareholders expense or try to improve SP for those shareholders.

Given that they have only drawn down half of the available mezzanine loan I wouldn’t be surprised to see them use it again. Also, the SP looks to be fixed sub nominal with little chance that Fooler can get it above that level.

The terms of the las arrangement have worked out disastrously for WSG. Whilst the financing was taken out pre Covid in the UK, Fooler has suggested that they were aware of the risks early in the outbreak in China so who’s to say the financing wasn’t rushed through with them somewhat aware of what might be coming. I can see them having to do something in the next 6 months for cash.
