For those who missed this earlier.
The above seem to be causing Some investors a few issues and concerns, some think they are linked and SOME even appear to think they are ALL the same thing. Some of the comment and discussion last night after the webinar was actually embarrassing and cringeworthy, to be brutally honest, so I thought I’d try and explain at a very high level and in layman’s terms what each one is, before somebody costs themselves, or worse still someone else, a lot of money.
1) ATM (At the Market) Sales agreement. This is effectively a drip feed placing where Tiziana are raising $20m over a period of time on the NASDAQ. It has been rather slow and laborious but “currently” is due to end TODAY “unless extended”. See RNS dated 12th June for info. The ATMs effectively ONLY affect the NASDAQ and are only diluting the shares in issue by a small amount so this can be ignored by 99.9% on here.
3) ADS’s - AGAIN, THESE ONLY AFFACT THE NASDAQ. Basically, people trading/buying shares on NASDAQ are buying bundles of 5 shares at a time, hence (for ease of working) $10 in US and £2 here (roughly). As from next week those buying shares on NASDAQ will be buying bundles of 2 shares instead of bundles of 5 so as from 4th August US will show $4 and UK will be $2. There is no change to the number of shares in issue. It doesn’t affect us in the UK at all, AND SHOULD BE IGNORED. See RNS dated 15th July
3) AccuStem/StemPrintER. - THESE ARE THE ONE IN THE SAME THING (just referred to differently as the name has changed in the last couple of days). AccuStem will be the name of the new company when StemPrintER is split off and is the company you will be awarded shares in IF you hold on the Record/Cut Off Date. THIS DATE HAS NOT BEEN SET YET, but will be same date in the US as it is in the UK. This will be a date in the (not too distant) future and we will be advised by Tiziana of this in an RNS in advance.
I hope this helps, but really, there is no substitute for just a bit of basic research, starting with reading the RNS’s.
