@Wednesday up to you but I wouldn't trust the intentions, knowledge or experience of Snakey , who has indicated he knows no-one at Capita, has no shares, has been trading since December 22, made a profit of 4k and got all excited by it and generally seeks to mock and disparage LTH's here. He deliberately misses out information and his "light bulb" moment that AH has got companies ready for sale in the past is epically ridiculous as that was pointed out to him many moons ago when I and others have discussed the possibility of this

In addition, Capita has today published a circular to shareholders (the Circular) in relation to the proposals first announced in the Full Year Results Announcement, detailing the Board's proposals to:

-optimise the structure of the Company's balance sheet and enhance the Company's ability to return value to shareholders at the appropriate time in the future by cancelling the entire amount standing to the credit of the Company's share premium account (the Share Premium Reduction); and

-consolidate the existing ordinary shares in the Company (the Share Consolidation) at a ratio of 15 for 1, which would involve every 15 ordinary shares of 2 1/15 pence held by a shareholder being consolidated into one ordinary share of 31 pence.

Does anyone know what the Share Premium reduction mean in practice. By cancelling what is for the account of the Company is this beneficial as it reduces the amount of allotable shares. Please can someone who has gone through a similar process comment . Thank you

Simples no reason to doubt you, you are mostly spot on but no where in the notice does it say 5 plus 2. Thats not to say the next contract post procurement will be like that (Capita will have a great shot at that) but this one I dont think is

Looking at it - it’s up to 175 . 2 years plus 2x1 options. - so probably 43.5m per annum. Still RNSable I would say otherwise PI’s need to be knocking on IR door asking WTF not?

The purpose of this VEAT notice is to inform and give prior notice to the market that The Education Authority intends to modify this contract in accordance with Regulation 72 (1) (b) of the Public Contracts Regulations 2015 to

(i) extend the contract for an additional 2 years until 31/03/2027 with a further 2 x 1 year additional extension options, and

(ii) increase the value by up to £175,000,000.

Regulation 72 (1) (c) also permits this modification due to unforeseen circumstances which a diligent authority could not have foreseen.

I do not believe it’s for 7 years. It’s for 2 years and it’s a quasi renewal which means it should be RNS’d . I have emailed IR

Hi Simples. Except that notice said Capita pulled out by mutual consent. Looks like they’ve decided to come back in. Presumably a decent margin has been offered.
