Agree...and the company demerger statement didn't just state that RemainCo was profitable it stated "HIGHLY PROFITABLE" that cannot just be a typing error by the office clerk!!!!

It's quite clear that there has been market abuse over the past 6 months but impossible to prove imho wouldn't you say? There was no reason why the company would agree to a preferential CLN a few weeks back at 32.3p, when they stated back in September ( RNS Number : 4140E THG PLC 17 September 2024) when the SP was hovering around 65p, that post demerger RemainCo .......... A false and misleading statement if ever I've seen one considering what they have done since don't you think? JAO Adyor!

A series of events have been deliberately created including the recent loan reductions by £234 million/renegotiated dates to Dec 2029, the CLN (with amendments as per RNS. Expecting a significant announcement end of this month or at AGM. JAO Adyor!

Are Frasers and MM or other party going to make a takeover announcement? Something appears to be happening behind the scenes don't you think, hence the amended wording of the CLN re Dec 4 or before etc etc....? 🤔

It looks likely that a corporate action announcement is going to be made on or around the 30th April Q1 update or at the AGM.....

From RNS dated 27th March 2025........In connection with the amended Convertible Loan: the date on which the Convertible Loan will be convertible into newly issued Ordinary Shares at the Placing Price, subject to adjustment upon the occurrence of certain events, will be deferred to on or after 4 December 2025 (conditional on shareholder approval to do so being obtained at the Company's 2025 AGM);

· a portion of the Convertible Loan may be convertible into Ordinary Shares earlier than this date in circumstances where it would not require the Company to publish a prospectus pursuant to the Prospectus Rules; and Matthew Moulding is no longer expected to pay up any partly paid shares.........

The whole debt reduction/refinancing deals and deferred CLN (with clauses) clearly points to an impending corporate action at or prior to the AGM..? JAO

Maybe they are planning to sell Beauty..or Frasers are going hostile with MM's backing....The small print of the CLN points towards a corporate action wouldn't you say? 🤔

Agree, there will be a statement regarding the Chairman...don't think MA is hostile but a takeover of all THG or sale of Nutrition looks very likely considering the way the manipulation of the SP was done as part of the debt repayments/refinancing and MM's Discounted CLN was agreed with the big shareholders. £1 might satisfy the big institutional investors...Wheels are definitely in motion for something big it seems don't you think? Also interesting that the CLN cannot be triggered before Decembe unless conditions allow???

Wonder what is their take out price is going to be...MM cannot convert the CLN until December 2025 unless certain conditions are in place, maybe a takeover or sales of Nutrition maybe baked into MM's plan?

So what you're confirming is that MM and MA are working together but not declaring their intentions to the City?

Whey prices have crashed..that's a big positive for Nutrition, but let's not forget Beauty has nearly twice the sales of the Nutrition division and has been doing very well it seems? What's happening with the potential £30 million VAT refund seeing as it looks a clear cut case of HMRC getting their facts wrong?

I believe something is going to be announced regarding the Chairman as I mentioned something last week and someone didn't want it seen and had it removed?

Tend to agree. It comes to something when a CEO and Chairman appear to be sabotaging the sales and performance of the company they are in charge of for benefit of all shareholders?
