"1. Global Vision Heads of Terms and JV with ESGY

After the 2023/24 reporting period, agreements were signed with Globalvision International ("Globalvision"), which were communicated to the market via an RNS and reported as concluded prematurely, on the Globalvision website, (subsequently removed after Pennpetro Chairman's complaint), whereby they agreed to purchase :

• 100% of the issued share capital in the Company's subsidiary Nobel USA, for a life of asset Royalty to Pennpetro, on the City of Gonzales #1 Well, Chalk Talk #1 Well, Chalk Talk #4 Well and Whistling Straits #5 Well, and the

assumption of approximately US $300,000 of outstanding liabilities; and

• 50% of the issued share capital in the Company's subsidiary Nobel Petroleum LLC.

The Globalvision agreement identified a level of historical accrued liabilities associated with restoring production that they would partially remedy.

Pennpetro have been unable to fulfil the acquisition conditions relating to perfecting the leases and committing funding, as a result the JV with Globalvision has not completed. "

You spend your time choosing to not look at the facts of the situation but instead using AI to try to convince /bamboozle others on this board to vote yes for fear of losing their investment (which they have already lost if they vote yes). Why don't you just admit you don't care about how much you get back. If fact, the less you get back, the lower your tax bill so it's a win/win for you isn't it.

And ASI stop with the digs, you are either out of your depth here or you are just bored and looking for stimulation. Either way, I'm not convinced by your argument and we definitely don't have the same intentions. I want to protect shareholder value not just get it done and dusted to fill in a tax submission.

Plus the fact we live in the real world where the rules and facts dont always apply. SL bends them to get his own way. So how is AI going to help you with that.

I don't think they their main aim was to do that but that is the buy product of rnd gaining a listed company and SL wanting his shares issued and 50% of nobel US. Plus it does work nicely for SL seeing as existing shareholders are a massive thorn in his side.

RM is probably in on it with SL. They will probably exploit the US licences together.

I agree Zag, which is why we need to keep the dialogue open.

Imo, it will mean SL will have to come up with a plan that benefits existing shareholders not just himself. If he wants our backing, what is in it for us. At the moment, it's very obvious he needs us in order to get what he wants but he seems to think we are stupid and will inadvertently destroy our own holdings just because he says it's a transformational deal. It's transformational for him and his mates. Not so much for us. Honestly, the sp will be in the toilet when suspension is lifted and we will be so diluted. Our shares will be pretty worthless imo.

You haven't answered my question. Why do you personally think SL wants to own 50% of the nobel US (which is apparently worthless - remember the impairments). Do you think the impairments might be reversed once he owns the licenses?
