Canadian public companies MUST comply with the rules and regulations of the TSX, The Canadian exchange enforces its requirements.

If the officers and directors do not comply then there are severe personal consequences not the least of which is forced removal of that person as an officer or director.

But the TSX must approve the agreement and not just the warrants. Here is what Soma stated in their news release "Completion of the transaction and the issuance of the warrants remain subject to the approval of the TSX Venture Exchange."

If the warrants are not issued then full consideration has not been paid and Soma will not the royalty. Soma will only the cash if the agreement with the warrants are approved by the TSX

Yes the transaction to pay RRR and issuance of warrants needs TSX approval. The TSX has a financing manual which provides guidelines as to what they will approve. This certainly falls within those guidelines. Typically on a transaction like this corporate counsel for Soma would have had a telephone conversation describing the transaction to ensure it will meet those guidelines. Approval is dependent on work loads etc but I would imagine it would be approved within 5-7 days of submission. I would imagine submission was today (Friday)

Banbury The warrant clearly have value but IMO a value of £1 per warrant appears high. That is approximately CDN 1.63 which is higher than the current share price. Why would I pay CDN $1,63 for a 3 year warrant when I could buy the shares at CDN 1.29? There various formulas to help determine the value of warrants or options. The variable deal with exercise price, time ( 3 year exercise time line) and volatility of the share price. I would imagine the value to be in the range of CDN $0.30 to CDN $0.60 range but this is just a guess

Banbury RRR received warrant as part of the sale so they are not 'free' The warrants are exercisable at CDN$2 per share. Today Soma is trading around CDN$ 1.31. RRR's warrants will have value when and IF the Soma share price is above the exercise price of $2. For example if the Soma share price was CDN $3 then RRR would have a profit of CDN $200,000 The warrants are good for 3 years, Soma has 52 week high of CDN $1,64 per share

RRR News It is good news and I am not surprised about the sales price. RRR needed the cash and Soma knew this.

The strike is just a convenient excuse. Strikes are common when a new operation starts up and I would guess that its over in a month but RRR could not wait

On DRC RRR stated "The Company continues to advance towards final documentation .." It sounds like RRR is just being creative to find a different way of 'imminent" since really RRR has been advancing towards final documentation for 3 years. It is noteworthy that RRR previously stated they were waiting the arbitration award and I am not sure why the arbitrator needs help on 'final documentation'

According to posts on X by AB this is what happened. Since it apparently still has not been resolved then one must wonder how long it will go it on?

Is RRR on a list which prevents funds being received?

Can this be used as a reason not send any funds awarded by the arbitration process?

A more meaningful or impactful statement would have said "RRR will be providing an update" or "I will provide an update"

AB knows what words meaning. I also expected an update on the termite assays to no avail.

If a wire was being sent to me it implies that terms had been agreed to which seem to indicate an announcement should be made. The flip side to that argument is RRR also waited to announce the 60,000 AUS until the day after it had been received

IMO one key issue is: Can AB actually get sale/JV done? We know AB can spend money, get licenses etc

I also agree that RRR's gold assets must have more value now with gold at $3,500+ than those same assets had with gold at $2,000

But then reality must kick in with the somber realization that AB still has not completed a deal despite the rather dire financial condition of RRR

To me getting comments about the AGM should be straightforward. I understand the complaints about RRR but at least try to stick close to reality

AGM How many people were there?

I am guessing a small number (less than 30). A small number is one reason why there is not more buying, also no actual RNS mentioning those comments and then finally RRR/AB are not strong on the credibility issue.

If the Australian funds arrive then that would be very positive
